2/ PLACE AND DATE OF EVENT
It will take place at the Espace Champerret, Paris on May, the 3rd & 4th
The terms of organising the exhibition, in particular the opening date, length of opening, place where it will be held, opening and closing hours, and entrance fees are determined by the organiser and may be changed at its initiative.
If the event cannot take place, or is interrupted while taking place, for reasons beyond the control of the Agence So'com, the latter undertakes to inform the contracting company by registered letter, without any claims for compensation being admitted.
3/ REGISTRATIONS
The reservation slip must be sent:

- by mail to Agence So'com – 35, rue des Martyrs de la Résistance- 69200 Vénissieux.
All applications received by us shall be taken into consideration but only applications completed in full and duly signed, stamped by the exhibiting company and accompanied by payment of the first instalment shall benefi t from the guarantees contained in the contract.
Receipt of the application by the organiser implies that the company wishing to exhibit is aware of the regulations and accepts them without reservation, as well as any additional regulations set out by the organiser. It also implies acceptance of any new terms that may be imposed by circumstances, which the organiser has the right to notify, even verbally, to exhibitors, in the interests of the event.
4/ GUARANTEE
In order to benefi t from a guaranteed place on the selected stand, presence in the marketing and promotion tools and the preferential rate, the exhibitor must pay, at the same time as the admission application, a sum equal to 50% including tax of the total amount. Foreign exhibitors shall receive, upon request, a pro forma invoice equal to the amount of this guarantee.
This sum shall be paid in cash; drafts and promissory notes are excluded. It will be reimbursed to the exhibitor if the latter is not admitted to exhibit. However, this sum will not be reimbursed to the exhibitor if the applicant withdraws their application.
5/ ADMISSION
Confirmation of admission applications will be sent to exhibitors within fi fteen days of receipt. It is not permitted to transfer or sub-let all or part of the allocated placement.
6/ ALLOCATION OF STANDS
Agence So'com has verifi ed the accuracy of all the measurements and layouts of the stands show on the exhibition plan, but Agence So'com reserves the right to modify or change the stand allocations if necessary in order to adjust the exhibition plan at any time, according to the requirements of theorganiser or the requirements of the applicable law or regulations applicable to the site where theexhibition is being held.
- Agence So'com reserves the right to reduce the confi guration of the stand requested by the exhibitor.
- Agence So'com reserves the right to withdraw its agreement for the registration and cancel the participation contract if the exhibitor's product is shown to be harmful to the image or good conduct of the exhibition, or if the exhibitor or any one of its representatives does not comply with the rules of decency or honour.
- The exhibitor may not under any circumstances, and in any form, exhibit advertising for non-exhibiting firms.
- Any light or sound advertising, and any attraction, show or activity, must be submitted to the approval of the organiser, which may retract the authorisation granted in the event of any disturbance caused to neighbouring exhibitors, the circulation or the conduct of the exhibition.
- Allocation of the stand is made solely for the period of exhibition and does not imply that the same stand or a similar stand will be reserved or offered for future Exhibitions.
- Each exhibitor or delegate shall provide for transport, reception and dispatch of its packages, and acknowledgement of its packages.
- All packages must be unpacked on arrival. If exhibitors are not present to receive their packages, the organiser may store, unpack or automatically re-dispatch them at cost, risk and peril to the exhibitor.
- Exhibitors must not obstruct the aisles or encroach on them or in any way disturb their neighbours.
- Exhibitors must not take down their stand or withdraw any of their items before the end of the event, even if the event is extended.
- Distribution of prospectuses is prohibited outside the stand occupied by the exhibitor.
- Distribution of any advertising documents may only be carried out by exhibitors on their stands.
- Market research surveys are prohibited, unless an exception is granted by the organiser.
- Exhibitors must leave the site, set and equipment provided to them in the condition in which they found them.
- Any damage caused by their installations or goods, either to the equipment, building or the occupied floor space shall be assessed by the architects and paid for by the exhibitor.
- The organiser reserves the exclusive right to display posters in the grounds of the exhibition.
7/ STAND FITTINGS
The sides of sets or panels overlooking neighbouring stands must have a painted or plain woven finish in beige or ecru, with no logo or inscriptions. The stands must be open to the aisles as much as possible. "Island" stands must not be closed off by partitions over more than 2/3 of their frontage along each aisle of the exhibition. The maximum overall height of all the constructions on the stand is fixed at 2.40m for the partitions. The project must be submitted for the authorisation of the security officer. Sound must be lower than 50 decibels to ensure comfort for everyone.
8/ PRICE
The fixed entry fee for stands (bare, pre-equipped, comfort or bespoke) and the prices of derivative products are specifi ed in the Reservation Contract. The following are added to these charges:
a) VAT (Value Added Tax) – 19.6%
b) mandatory administration fees.
9/ TERMS OF PAYMENT
Payment of the aforementioned entry fee is made in two instalments:
- 1st instalment of 50% of the total exhibition entry fee including tax, as a deposit payable upon registration.
- 2nd payment of 50% of the total exhibition entry fee including tax (balance of invoice) by Mars, 1st 2011.
Failure to pay the entry fee on the stated due dates shall result in cancellation of the right not only to the allocated site but also to all the exhibition marketing and promotional tools, whether at a cost or free of charge, and shall also render payable all invoices issued and not paid in respect of this event.
10/ LATE PAYMENT
Payment times may not be extended for any reason. Pursuant to Article L. 441-6 of the Code of Commerce, any sum unpaid on its due date shall incur as of right, without prior formal notice, interest calculated at a rate equal to one and a half times the legal interest in force. Calculation of this late payment interest shall run from the day after the due date of the invoice concerned until the day of receipt of full, final payment. In addition, any sum unpaid on its due date shall as of right and without prior formal notice incur a fi xed compensation payment of 100 euros.
If the case is the subject of a legal claim or injunction to pay, the total debt shall be increased by the recovery fees, registered mail costs, legal costs and any bailiff's costs. Moreover, any sum not paid on its due date shall immediately render all other invoiced sums payable, whether due or not. Secondly, even in cases of partial payment, any sum unpaid on its due date may give rise to suspension of all orders in progress until full payment of the sums due has been received. While waiting for the client to clear its debt, the company may refuse all new orders. Finally, after one payment incident and even if this has been fully settled, the company reserves the right to demand full payment upon order for future services.
11/ CANCELLATION CONDITIONS
The exhibitor may, at any time and for any reason, cancel its participation in the exhibition, notifying its withdrawal by registered letter, on the understanding that:
- If the cancellation notice reaches us between the day of registration and December, 30th 2010, the exhibitor shall remain liable for 50% of the amount of its order, including tax.
- After this date, the exhibitor shall be required to pay the full amount of its order.
- Reductions in surface area are considered to be partial cancellation, and as a result incur the same effects under the same conditions as pure and simple cancellation.
12/ DISPUTE
In the event of dispute, only the French text shall serve as proof and only the Courts in the locality of the organiser's registered offi ce shall have jurisdiction.
13/ MARKETING TOOLS
The marketing tools and products relating to AstriEurop are indissociable from the general terms and conditions of sale for the event.
14/ INSURANCE
The exhibitor shall be covered by the organiser's insurance policy, in accordance with the general terms and conditions and subject to the exceptions stipulated therein. Coverage by this policy shall take effect upon payment of the registration fees.
We acknowledge having read the General Terms and Conditions of Sale, of which we possess a copy, and accept all the clauses without reservation or restriction, waiving all right to recourse against the organiser.
